NON-DISCLOSURE AGREEMENT (NDA)

Disclosing Party: Felipe Linares (hereinafter referred to as the “Disclosing Party”)

Receiving Party: Visitor (hereinafter referred to as the “Receiving Party”)

1. Purpose

The Disclosing Party operates a website portfolio that showcases confidential and protected projects. Access to specific NDA-protected projects within the portfolio requires the Receiving Party to agree to this NDA to ensure that confidential information is not disclosed or misused.

2. Confidential Information

Confidential Information refers to any non-public information displayed or shared within the NDA-protected section of the portfolio, including but not limited to:

• Visual designs, wireframes, and prototypes

• Client information, project details, or outcomes

• Technical data, specifications, or product strategies

• Any other information explicitly marked as confidential or proprietary

3. Obligations of the Receiving Party

The Receiving Party agrees to:

1. Confidentiality: Keep all information accessed in NDA-protected areas strictly confidential and not disclose it to any third party without written consent from the Disclosing Party.

2. Restricted Use: Use the Confidential Information solely for the purpose of viewing the portfolio and evaluating the Disclosing Party’s work.

3. Non-Copying: Not copy, capture, screenshot, reproduce, or store any part of the Confidential Information without explicit permission.

4. Non-Circumvention: Not contact any clients or partners disclosed through the portfolio directly or indirectly.

4. Exclusions from Confidential Information

Confidential Information shall not include information that:

1. Was publicly known at the time of disclosure;

2. Becomes publicly known through no breach of this NDA;

3. Is received from a third party not under a confidentiality obligation; or

4. Is independently developed without reliance on the Disclosing Party’s information.

5. Term

This Agreement and the obligations within will remain in effect for two (2) years from the date of the visit to the NDA-protected project, unless otherwise terminated in writing by the Disclosing Party.

6. Remedies

The Receiving Party acknowledges that the unauthorized disclosure or misuse of the Confidential Information may result in irreparable harm to the Disclosing Party. In such an event, the Disclosing Party may seek equitable relief, including injunctions and other remedies, in addition to any legal remedies available.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Colombia, without regard to its conflict of law principles.

8. Entire Agreement

This NDA constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, written or oral, relating to such subject matter.

9. Electronic Acceptance

By accessing the NDA-protected projects on the portfolio, the Receiving Party agrees to the terms outlined in this NDA. Continued access to the content signifies consent to these terms.
